AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into by and between Matchmaker Maria LLC (“Company”) and the applicant accepted into the MatchmakerMaria.com Affiliate Program (“Affiliate”). By applying to and participating in the Affiliate Program, Affiliate agrees to the following terms.
- DEFINITIONS
“Company Products” include all current and future MatchmakerMaria.com digital products, courses, memberships, programs, and offerings listed in the Affiliate Dashboard.
“Affiliate Link” means the unique tracked URL generated by the Company’s affiliate platform (Kajabi).
“Commission” means earnings based on a percentage of an eligible purchase as defined in the Affiliate Dashboard.
“Customer” means an individual who purchases a Company Product through an Affiliate Link within the tracking period.
- PROGRAM ELIGIBILITY
Affiliate must complete an application, be approved by the Company, and agree to this Agreement. Company may accept or reject any application for any lawful reason.
- AFFILIATE RESPONSIBILITIES
Affiliate agrees to:
- Promote Company Products truthfully and ethically.
- Use only promotional assets provided in the Affiliate Dashboard or explicitly approved by the Company.
- Adhere to all laws, including FTC disclosure requirements.
- Avoid misleading or unethical marketing.
- Maintain brand integrity.
- Use Affiliate Links clearly and correctly.
Affiliate is an independent contractor, not an employee, partner, or agent.
- COMMISSION STRUCTURE
Commissions are percentage-based and displayed in the Affiliate Dashboard. Rates may change.
Attribution requires:
- A purchase made through the Affiliate Link
- Occurring within a 90-day tracking window
- Not refunded or disputed
Company may modify commission rates.
- PAYMENT TERMS
Commissions are paid every 60 days to allow time for refunds and chargebacks.
Payouts are processed via PayPal only.
Refunded or charged-back purchases reverse commissions.
- APPROVED PROMOTIONAL METHODS
Affiliate may promote via personal websites, social media, email newsletters, video content, and 1:1 referrals.
Promotions must use approved assets, comply with the law, include FTC disclosures, and maintain Company brand standards.
- PROHIBITED ACTIVITIES
Affiliate may not:
- Use paid ads with Company trademarks or brand names
- Use unapproved creative assets
- Redistribute paid course content
- Use coupon sites
- Engage in spam or cold DMs
- Make misleading claims
- Impersonate Company
- Promote alongside explicit or discriminatory content
- Purchase through their own Affiliate Link
Violations may lead to termination and forfeiture of commissions.
- INTELLECTUAL PROPERTY
Affiliate may use approved assets only. Altering or creating derivative branding is prohibited. All intellectual property belongs to the Company.
- CONFIDENTIALITY
Affiliate may not disclose internal business information, customer data, commission structures, or product development details.
- TERMINATION
Company may terminate participation at any time for violations, misconduct, brand harm, or 12+ months of inactivity.
Affiliate may terminate participation at any time via written notice.
Upon termination, Affiliate must stop using Affiliate Links and assets. Future commissions stop immediately.
- LIMITATION OF LIABILITY
Company is not liable for indirect or consequential damages, lost income, or tracking failures due to user/browser/third-party issues. Company tracking data is final.
- GOVERNING LAW
This Agreement is governed by New Jersey law. Disputes are resolved by arbitration in Middlesex County, NJ.
- MODIFICATIONS
Company may modify this Agreement at any time. Updates appear in the Affiliate Dashboard.
- ENTIRE AGREEMENT
This Agreement constitutes the full understanding between Affiliate and Matchmaker Maria LLC.
